1. Who you're contracting with

These Terms of Service ("Terms") form an agreement between you and Plainly ("Plainly", "we", "us", or "our") and govern your use of the Plainly website and SEO software service (together, the "Service").

2. Acceptance

By creating an account, accessing, or continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you are using it as an individual, you confirm you are of legal age to enter into a contract.

3. Your account

You must provide accurate information when you sign up and keep it up to date. You are responsible for keeping your credentials confidential and for activity that happens under your account.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not:

  • use the Service for unlawful, fraudulent, or deceptive purposes, or to send spam;
  • infringe the intellectual-property or privacy rights of others;
  • interfere with the security or integrity of the Service, including by probing for vulnerabilities, distributing malware, or scraping at volume;
  • reverse engineer, resell, or redistribute the Service or circumvent its technical limits.

5. Intellectual property

Plainly and its licensors retain all right, title, and interest in and to the Service, including the software, documentation, branding, and content we create. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have purchased and subject to these Terms.

6. Your content

You retain ownership of the websites, keywords, and other content you submit to the Service. You grant Plainly a limited licence to host and process that content solely to provide and improve the Service.

7. Payments and Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles refunds.

All payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms and our Refund Policy. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. Prices may change with notice; changes take effect at your next renewal.

8. Service availability

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, error-free, or available at all times.

9. Suspension and termination

We may suspend or terminate your access to the Service at any time, including for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time from your account. On termination, your right to use the Service ends; we may delete your data after a reasonable retention period.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Plainly disclaims all implied warranties, including merchantability and fitness for a particular purpose. SEO outcomes depend on many factors outside our control and are not guaranteed.

11. Limitation of liability

To the fullest extent permitted by law, Plainly's aggregate liability arising out of or relating to the Service is limited to the fees you paid to Paddle for the Service in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be excluded under applicable law (such as for fraud, death, or personal injury).

12. Indemnity

You will indemnify and hold Plainly harmless from third-party claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated by email or via the Service and take effect when posted.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Plainly is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, except where mandatory local consumer-protection law provides otherwise.
